RELEASE OF LIABILITY and TERMS AND CONDITIONS

READ CAREFULLY – THIS AFFECTS YOUR LEGAL RIGHTS

 

In exchange for participation in all activity associated with Jeremy Wagner and his services named in this document as Impact Social, of 860 Canby Road, Redding, California, 96003 and/or use of the services of Impact Social, I agree for myself and (if applicable) for anyone who may be participating, the following:

 

1. AGREEMENT TO FOLLOW DIRECTIONS. I agree to observe and obey all rules and warnings stated by Impact Social. Further, I agree to follow any written or oral instructions or directions given by Impact Social, or designated agents of Impact Social. 

 

2. INDEMNIFICATION. I agree to indemnify and defend Impact Social against all claims, causes of action, damages, judgments, costs or expenses, including attorney fees and other litigation costs, which may in any way arise from my or anyone who may be participating in services of Impact Social.

 

3. FEES. I agree to pay all non-refundable fees for using Impact Social’s services. I agree to financially compensate and/ or cover for all damages to my social media accounts or/ and all third party social media accounts, and any other forms of harm caused by Impact Social, and other third parties caused by any negligent, reckless, or willful actions by Impact Social or anyone who may be participating with Impact Social in these actions. I agree to pay Impact Social the amount agreed upon in exchange for the promised services as outlined in the proposal. These services are subject to change in communication with your collaboration. Any service performed beyond what our proposal lays out will be done only upon your verbal or written approval. 

 

4. LIMITED TIME OF SERVICE. I agree to pay Impact Social the amount proposed in exchange for their services as outlined in the social media proposal over.

 

5. APPLICABLE LAW. Any legal or equitable claim that may arise from participation in the above shall be resolved under California law.

 

6. NO DURESS. I agree and acknowledge that I am under no pressure or duress to agree to these terms and that I have been given a reasonable opportunity to review it before choosing to agree to these terms and conditions. I further agree and acknowledge that I am free to have my own legal counsel review this Agreement if I so desire. I further agree and acknowledge that Impact Social has offered to refund any fees I have paid to use its services if I choose not to agree to these terms and conditions. I am also fully aware that Impact Social is not able to provide a refund of services purchased by a third party. Further, I agree and acknowledge that Impact Social is not responsible, nor able to provide a refund for purchased services of any kind. I take all financial responsibility and ownership for all resources and services purchased and provided. I understand I will not be refunded on all such services by Impact Social.

 

7. ARM’S LENGTH AGREEMENT. This agreement and each of its terms are the product of an arm’s length negotiation between the Parties. In the event any ambiguity is found to exist in the interpretation of this Agreement, or any of its provisions, the Parties, and each of them, explicitly reject the application of any legal or equitable rule of interpretation which would lead to a construction either “for” or “against” a particular Party based upon their status as the drafter of a specific term, language, or provision giving rise to such ambiguity.

 

8. ENFORCEABILITY. The invalidity or unenforceability of any provision of this Agreement, whether standing or alone or as applied to a particular occurrence or circumstance, shall not affect the validity of enforceability of any other provision of this Agreement or of any other applications of such provision, as the case may be, and such invalid or unenforceability provision shall be deemed not to be a part of this Agreement.

 

I HAVE READ THIS DOCUMENT AND UNDERSTAND IT. I FURTHER UNDERSTAND THAT BY SIGNING THIS DOCUMENT I VOLUNTARILY SURRENDER CERTAIN LEGAL RIGHTS.
